Terms and Conditions of Service
These Terms and Conditions govern your use of the Hynni platform, a service operated by Verdan Energy CYF, a company registered in Wales (referred to throughout as ‘Hynni’, ‘we’, ‘us’, or ‘our’). Please read these Terms carefully before using the Hynni platform. By registering for or using Hynni, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our platform.
1. Definitions
In these Terms and Conditions, the following definitions apply:
- “Hynni”, “we”, “us”, or “our” means Verdan Energy CYF, a company registered in Wales, trading as Hynni.
- “Platform” means the Hynni web and/or mobile application and all associated services.
- “Customer”, “you”, or “your” means the business entity that has registered to use the Platform.
- “Authorised User” means any individual employed by or acting on behalf of the Customer who is permitted to access the Platform.
- “Services” means all features provided through the Platform, including but not limited to contract renewal tracking, automated bill validation, procurement support, and market intelligence notifications.
- “Utility Contract” means any contract for gas, electricity, water, or other utility services entered into by the Customer.
- “Market Intelligence” means information and recommendations provided by the Platform regarding energy market conditions and contract timing.
2. Eligibility and Registration
2.1 The Platform is intended solely for use by UK-based businesses. By registering, you confirm that you are a duly authorised representative of a UK-registered business and have the authority to enter into these Terms on its behalf.
2.2 You must provide accurate, complete, and up-to-date information at the point of registration and maintain the accuracy of that information throughout your use of the Platform.
2.3 You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any suspected unauthorised access.
2.4 We reserve the right to refuse registration, suspend, or terminate access to any account at our discretion, including where we reasonably believe that information provided is false or misleading.
3. The Platform – Free Access
3.1 The Hynni Platform is provided free of charge to all registered Customers. There are no subscription fees or platform usage charges.
3.2 Hynni may generate revenue through other means, including but not limited to commissions or fees received from energy suppliers or brokers in connection with Utility Contracts procured through or facilitated by the Platform. Where this is the case, this will be disclosed to you.
3.3 We reserve the right to introduce premium features or paid tiers in the future. We will provide reasonable advance notice of any such changes, and your continued free access to core features will not be affected without explicit notice.
4. Description of Services
4.1 Contract Renewal Tracking
The Platform enables you to upload and manage information relating to your existing Utility Contracts and receive automated alerts regarding key dates, including renewal windows, contract end dates, and notice periods. It is your responsibility to ensure that contract information entered into the Platform is accurate and complete.
4.2 Automated Bill Validation
The Platform may analyse your utility bills to identify potential errors, overcharges, or anomalies. Bill validation is provided as a support tool only and does not constitute a formal audit or legal opinion. You remain responsible for verifying the accuracy of your bills and settling any disputes directly with your supplier.
4.3 Procurement Support
Where requested, Hynni may assist in obtaining energy quotations and facilitating procurement of Utility Contracts. By using this feature, you acknowledge that Hynni acts as an energy broker and may receive a commission from suppliers in connection with contracts arranged. Full details of any such remuneration will be disclosed prior to contract execution.
4.4 Market Intelligence
The Platform provides notifications and guidance regarding prevailing energy market conditions and recommendations on whether current conditions may be favourable or unfavourable for placing a Utility Contract. Market Intelligence is provided for informational purposes only and does not constitute financial, legal, or regulated investment advice. You should not rely solely on Market Intelligence when making commercial decisions, and Hynni accepts no liability for decisions made based on this information.
5. Communications and Contact Consent
5.1 By registering for the Platform, you expressly consent to Hynni contacting you for the following purposes:
- To assist you in setting up and getting started with the Platform;
- To provide support, guidance, and onboarding assistance;
- To notify you of key dates relating to your Utility Contracts (such as renewal deadlines and notice periods);
- To inform you of relevant market conditions or opportunities identified by the Platform;
- To discuss energy procurement options, including obtaining quotations on your behalf;
- To share information about additional features or updates to the Platform that may be relevant to your account.
5.2 We will contact you via the email address, telephone number, and other contact details you provide at registration. You may update your contact preferences at any time through your account settings.
5.3 You may opt out of non-essential communications at any time by contacting us at hello@verdan.co.uk or by updating your notification preferences in-app. Please note that opting out of certain communications (such as contract renewal alerts) may affect the effectiveness of the Services.
5.4 We will not sell your contact details to third parties. Communications from Hynni will always be in connection with your utilities, your account, or the Services we provide.
6. Customer Obligations
6.1 You agree to use the Platform only for lawful purposes and in accordance with these Terms.
6.2 You must not:
- Use the Platform in any way that violates applicable UK law or regulation;
- Attempt to gain unauthorised access to any part of the Platform or its underlying systems;
- Upload or transmit any data that is false, misleading, or that you do not have the right to share;
- Reverse engineer, decompile, or attempt to derive source code from the Platform;
- Use the Platform to transmit unsolicited communications or malicious software;
- Resell, sublicense, or otherwise commercialise access to the Platform without our prior written consent.
6.3 You are responsible for ensuring that all Authorised Users comply with these Terms and that they use the Platform appropriately.
7. Data Protection and Privacy
7.1 Hynni processes personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Our Privacy Policy, available on our website, sets out in detail how we collect, use, store, and protect your data.
7.2 By registering for the Platform, you acknowledge that you have read and understood our Privacy Policy.
7.3 You warrant that you have obtained all necessary consents and have a lawful basis under UK GDPR to share with Hynni any personal data relating to your employees, representatives, or other individuals that you upload to the Platform.
7.4 Hynni implements appropriate technical and organisational measures to protect the security of data processed through the Platform. However, no system can be entirely secure, and we cannot guarantee absolute security.
7.5 We may use anonymised and aggregated data derived from use of the Platform for the purposes of improving our services, market analysis, and product development. This data will not identify individual Customers.
8. Intellectual Property
8.1 All intellectual property rights in the Platform, including its software, algorithms, content, design, and underlying technology, are owned by or licensed to Verdan Energy CYF. These Terms do not grant you any ownership rights in the Platform.
8.2 Subject to these Terms, we grant you a limited, non-exclusive, non-transferable licence to access and use the Platform for your internal business purposes during the term of your registration.
8.3 You retain ownership of any data you upload to the Platform. By uploading data, you grant Hynni a licence to use that data to provide the Services to you.
9. Disclaimers and Limitation of Liability
9.1 The Platform and all Services are provided on an ‘as is’ and ‘as available’ basis. To the fullest extent permitted by law, Hynni makes no warranties, express or implied, regarding the Platform, including its accuracy, completeness, fitness for a particular purpose, or uninterrupted availability.
9.2 Market Intelligence, bill validation outputs, and procurement recommendations provided through the Platform are informational tools only and do not constitute regulated financial advice. You should seek independent professional advice before entering into any significant commercial commitment.
9.3 Hynni shall not be liable for:
- Any indirect, consequential, special, or incidental loss or damage;
- Loss of profits, revenue, contracts, anticipated savings, or business opportunity;
- Loss arising from your reliance on Market Intelligence or other informational outputs of the Platform;
- Any failure to perform the Services where such failure arises from events outside our reasonable control (force majeure).
9.4 To the extent permitted by applicable law, our total aggregate liability to you arising out of or in connection with these Terms shall not exceed £500 in any twelve-month period.
9.5 Nothing in these Terms shall limit or exclude liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.
10. Third-Party Integrations and Suppliers
10.1 The Platform may integrate with or provide links to third-party services, data providers, or energy suppliers. Hynni is not responsible for the content, accuracy, or practices of any third-party service, and your use of such services is at your own risk and subject to their own terms and conditions.
10.2 Where Hynni facilitates procurement on your behalf, any resulting Utility Contract will be between you and the relevant energy supplier. Hynni is not a party to that contract and is not responsible for the performance, pricing, or conduct of any energy supplier.
11. Suspension and Termination
11.1 You may close your account and terminate these Terms at any time by contacting us at hello@verdan.co.uk.
11.2 We may suspend or terminate your access to the Platform at any time, with or without notice, if:
- You breach any provision of these Terms;
- We reasonably suspect fraudulent, unlawful, or abusive use of the Platform;
- We are required to do so by law or a regulatory authority;
- We cease to operate the Platform.
11.3 Upon termination, your right to access and use the Platform will cease immediately. Provisions of these Terms that by their nature should survive termination (including clauses relating to intellectual property, liability, and governing law) shall continue to apply.
12. Changes to These Terms
12.1 We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. We will notify you of any material changes by email or via a notice within the Platform at least 14 days before the changes take effect.
12.2 Your continued use of the Platform after any updated Terms have taken effect will constitute your acceptance of the revised Terms. If you do not agree to the updated Terms, you should cease using the Platform and close your account.
13. General
13.1 Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Hynni in relation to the Platform and supersede all prior agreements, representations, or understandings.
13.2 Severability: If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
13.3 Waiver: A failure by Hynni to exercise or enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
13.4 Assignment: You may not assign, transfer, or sub-licence your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
13.5 Complaints: If you have a complaint about the Platform or our Services, please contact us in the first instance at hello@verdan.co.uk. We will use reasonable endeavours to resolve complaints promptly.
14. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of England and Wales. You agree to submit to the exclusive jurisdiction of the courts of England and Wales in relation to any such dispute.
